Order Policy
1. All quotations are made and orders accepted subject to the following terms and conditions, and no additions or alterations will apply unless specifically agreed to in writing by Pratt-Read Corporation.

2. Orders received for less than pack size will automatically be increased to pack size multiples.

3. Each order must bear only one order number and one address and be for delivery to the address of the customer, unless otherwise specified.

4. Once an order has been accepted by us, cancellations or additions cannot be accepted. Due to a policy of continuous improvement, we reserve the right to modify specifications without prior notification. The customer will have no right to cancel any order or claim damages in such event. New orders and back orders will not be shipped for accounts with over-due balances.

5. All prices shown are in U.S. Dollars, f.o.b. shipping point. All orders are subject to acceptance by us at prices in effect at time of shipment for sales, use, consumption or resale within the United States. PRICES ARE SUBJECT TO CHANGE WITHOUT NOTICE. We reserve the right to adjust prices prior to shipment, and invoice prices will always be the prices in effect at the date of shipment unless we specifically agree in writing.

6. Discounts may be available, please contact your sales representative for further information.

7. In All prices are subject to increase without notice by the amount of any Sales or Excise Tax, imposed, levied or assessed by any Municipal, State, or Federal Agency against the items listed.

8. Invoices are due and payable 30 days from invoice date and are past due otherwise. For remittances postmarked within 10 days from invoice date, a 2% prompt payment discount is allowed.

9. Without prejudice to other rights and remedies available to us, when payment is delayed, at our discretion we may charge interest at the highest rate permitted by law, up to 18% per annum calculated on a daily basis, and add it to the outstanding account balance until full payment is received.


Return Policy
1. No merchandise may be returned without our prior written authorization. All products must be of current design and in resalable condition and packaged in full shelf pack quantities. Credit will be issued at the originally billed price, less 15% handling charge. Authorized returns must be shipped prepaid.

2. For shortage or damage incurred in transit, notify delivery carrier at once and file claim. Our responsibility for delivery of goods ends when bill of lading is signed by receiving carrier at shipping point.


Shipping Policy
1. Freight charges allowed on invoices will be computed at lowest rates in effect at shipment time. Shipments will be made via routing of our choice. If special routing or expedited transportation is required, the additional expense will be assumed by the Customer. No delivery charges are included in freight allowance.

2. Any Pratt-Read products may be combined to meet the prepaid minimum.

3. We will endeavor to meet all quoted delivery dates, but we will not be liable for any delay in dispatch or any loss occasioned thereby and we will be absolved from all liability or responsibility for any delay in performance or failure to perform this Agreement resulting from any unforeseen circumstances or causes whatsoever beyond our control.


Warranty Policy
1. We warrant only that the goods will, on delivery, be free from defects in materials and workmanship.

2. If any failure to meet the warranty stated in the above clause will appear after delivery of the goods, in order for such warranty to apply, the customer will immediately notify us in writing of the alleged defects and will, following agreement with us, return the goods at its own risk to the location we specify, or if so instructed, hold the goods for our inspection. If the alleged defect exists, we will at our option either repair or replace the defective goods in order to remedy the defect, or refund the purchase price of the defective goods.

3. The undertaking stated here will not apply to goods that have been repaired or altered, unless by us, or mixed with other goods, or used to create composite products, or any goods that have been subject to accident or to damage or that have been improperly stored, maintained or used.

4. The customer acknowledges that, except as stated above, al warranties, conditions or representations whether express or implied, statutory or otherwise, and whether arising under any prior agreement or any oral or written statements made by us or on our behalf in the course of negotiations with the customer or its representative are hereby overridden and excluded.
